What is AMT and why does it matter when exercising ISOs?

AMT, or Alternative Minimum Tax, is a parallel tax calculation that can apply when you exercise Incentive Stock Options. Even if you do not sell your shares, the difference between your exercise price and the fair market value may count as income for AMT purposes. That means a large ISO exercise can create a tax bill before you have actual cash from selling the stock.

Can exercising ISOs trigger taxes even if I don’t sell my shares?

Yes. With ISOs, you may owe AMT in the year you exercise, even if you continue holding the shares. This is one of the biggest risks for tech employees with private-company or pre-IPO equity. The shares may look valuable on paper, but the tax bill can be real before the stock becomes liquid.

When should I exercise my ISOs?

The right timing depends on your strike price, current fair market value, expected company growth, cash available for taxes, liquidity timeline, and overall risk tolerance. Some employees exercise early to start the long-term capital gains clock and potentially reduce AMT. Others wait to avoid tying up too much cash or taking on tax risk before they know whether the shares can be sold.
